Statuto dell’Organizzazione No-Profit EESTALIA
Disposizioni Generali

L’organizzazione non-profit denominata EESTALIA (nel seguito EESTALIA) è un’organizzazione volontaria non-profit. 
EESTALIA è stata fondata il 27 Giugno 2013. Essa opera attraverso autofinanziamento.
La sede del Consiglio di Gestione è Tallinn, nella contea di Harju.
In tutte le sue attività, EESTALIA è soggetta alla giurisdizione Estone e alle decisioni dei suoi organi di governo interni.
Lo Scopo delle attività di EESTALIA

Promuovere eventi e altre iniziative finalizzate al rafforzamento dell’amicizia tra Estonia ed Italia.

Membri: diritti ed obblighi

Qualunque persona, fisica o giuridica, può, in qualsiasi momento, proporsi per entrare a far parte dell’associazione sottoponendo al Consiglio di Gestione una domanda di partecipazione scritta. Il candidato riceverà una conferma dal Consiglio stesso.
Per uscire dall’associazione, un membro deve sottoporre una richiesta scritta al Consiglio di Gestione. Un membro può lasciare l’associazione in qualsiasi momento. Il Consiglio cancellerà il nome del candidato che ha richiesto l’esclusione dalla lista dei membri di EESTALIA.

Diritti e doveri dei Membri:

Un membro di EESTALIA ha il diritto di:
prendere parte al voto nell’Assemblea Generale di EESTALIA;
essere eletto al Consiglio di Gestione;
ottenere informazioni su EESTALIA e partecipare alle sue attività.

Ad un membro di EESTALIA è richiesto di:
rispettare lo Statuto di EESTALIA e le decisioni del suo Consiglio di Gestione;
riferire al Consiglio di Gestione i propri contatti, l’indirizzo, la data di nascita o il codice identificativo, e di informare il Consiglio in caso di modifica dei succitati dati non oltre i due mesi dall’avvenuto cambiamento.

Assemblea Generale

L’organo supremo dell’associazione è l’Assemblea Generale di EESTALIA, nel quale ogni membro ha un voto di pari valore.
L’Assemblea Generale ha il potere di decidere su:
modifiche allo Statuto;
modifiche all’oggetto di EESTALIA;
nomina dei membri del Consiglio di Gestione di EESTALIA.

L’Assemblea Generale è convocata dal Consiglio di Gestione:
per l’approvazione del bilancio annuale;
se cosi richiesto per iscritto, indicandone la motivazione, da almeno 1/10 dei membri dell’Associazione.

Per convocare l’ Assemblea Generale il Consiglio di Gestione deve inviare ad ogni membro un avviso per email contenente i dettagli dell’Assemblea stessa e il relativo ordine del giorno, almeno due settimane prima del giorno dell’Assemblea.
L’Assemblea Generale raggiunge il quorum se più di metà dei membri vi partecipano.
Le decisioni dell’Assemblea Generale si ritengono adottate se almeno metà più uno dei membri presenti, o loro rappresentanti, vota a favore, a meno che la legge o lo Statuto non prevedano maggioranze più ampie.
Le modifiche allo Statuto richiedono una maggioranza dei 2/3 dei presenti all’Assemblea Generale. Il cambiamento dell’oggetto dell’associazione richiede il voto favorevole di tutti i membri di EESTALIA.
L’Assemblea Generale può invitare due persone fisiche, una di nazionalità italiana, l’altra di nazionalità estone, a prender parte alla vita associativa in qualità di Presidenti Onorari di EESTALIA.

Il Consiglio di Gestione

EESTALIA è gestita e rappresentata da almeno 3 membri consiglieri.
I Membri del Consiglio sono nominati dall’Assemblea generale per la durata in carica di 3 anni.
I Membri del Consiglio nominano, scegliendolo tra di loro, un Presidente che organizza i lavori del Consiglio stesso.
Il Consiglio coordina le attività di EESTALIA e implementa le decisioni dell’Assemblea Generale.
Affinchè una decisione del Consiglio si ritenga approvata è necessario che la maggioranza dei consiglieri voti a favore.
Attività Fiscale

L’anno fiscale di EESTALIA và dal 1 Gennaio al 31 Dicembre. Il rendiconto annuale deve essere sottoposta ai membri almeno due settimane prima della data di convocazione dell’Assemblea Generale.

Mittetulundusühingu EESTALIA Põhikiri


I ÜLDSÄTTED

1.1. Mittetulundusühing nimetusega Mittetulundusühing EESTALIA (edaspidi: EESTALIA) on kasumit mittetaotlev organisatsioon. 

1.2. Mittetulundusühing on asutatud 27. Juunil 2013. EESTALIA mis tegutseb isefinantseerimise põhimõttel.

1.3. Ühingu juhatuse asukohaks on Tallinnas, Harjumaal. 

1.4. Oma tegevuses juhindub ühing Eesti Vabariigi seadusandlusest, põhikirjast ja EESTALIA organite otsustest

II EESTALIA tegevuse eemärk.

Edendada kultuurilisi üritusi ja teisi ettevõtmisi, eesmärgiga tugevdada sõprussuhteid Eesti ja Itaalia vahel. 

III Liikmed, nende õigused ja kohustused

3.1. MTÜ liikmeks vastuvõtmist võib taotleda iga juriidiline ja füüsiline isik igal ajal, esitades MTÜ juhatusele kirjaliku avalduse, ning taotleja saab vastava kinnituse juhatuselt.

3.2. EESTALIA’st väljaastumiseks esitab liige juhatusele kirjaliku avalduse. EESTALIA’st saab välja astuda igal ajal. EESTALIA juhatus kustutab EESTALIA väljaastunu liikmete nimekirjast.

Liikmete õigused ja kohustused:

3.3. EESTALIA liikmetel on õigus:
a) osaleda hääleõigusega EESTALIA üldkoosolekul
b) olla valitud EESTALIA juhatuse liikmeks;
c) saada informatsiooni EESTALIA juhatuselt ühingu tegevuse kohta ja osaleda EESTALIA üritustel

3.4. EESTALIA liige on kohustatud:
a) järgima EESTALIA tegevuses osalemisel põhikirja ja EESTALIA organite otsuseid;
b) teatama EESTALIA juhatusele EESTALIA liikmete arvestuse pidamiseks oma elukoha ja aadressi ning isikukoodi ning teatama uued andmed hiljemalt 2 kuu jooksul pärast nende muutumist; 


IV. Üldkoosolek

4.1. EESTALIA kõrgeimaks organiks on EESTALIA üldkoosolek, millel iga EESTALIA liikmel on üks hääl. 

4.2. EESTALIA üldkoosoleku pädevuses on:
a) põhikirja muutmine
b) EESTALIA eesmärgi muutmine
c) juhatuse liikmete määramine

4.3. EESTALIA üldkoosoleku kutsub kokku juhatus:
a) aastaaruande kinnitamiseks
b) juhul, kui seda nõuab kirjalikult ja põhjust ära näidates vähemalt 1/10 EESTALIA liikmetest 

4.4. Üldkoosoleku kokkukutsumiseks saadab juhatus teate üldkoosoleku toimumisest ja päevakorrast igale ühingu liikmele 2 nädalat enne üldkoosoleku toimumist e-posti aadressile.

4.5. Üldkoosolek on otsustusvõimeline, kui sellel osaleb või on esindatud üle poole EESTALIA liikmetest. 

4.6.Üldkoosoleku otsus on vastu võetud, kui selle poolt on üle poole koosolekul osalenud EESTALIA liikmetest või nende esindajatest ja EESTALIA põhikiri või seadus ei näe ette suurema häälteenamuse nõuet. 

4.7. EESTALIA põhikirja muutmiseks on vajalik üldkoosoleku 2/3 häälteenamus ja eesmärgi muutmiseks on vajalik kõigi EESTALIA liikmete nõusolek.

4.8. Üldkoosolek võib nimetada kaks füüsilist isikut EESTALIA aupresidentideks, kellest üks on Eesti taustaga ja teine Itaalia taustaga isik.

V. Juhatus

5.1. EESTALIA tegevust juhib ja seda esindab juhatus, milles on vähemal 3 liiget 

5.2. Juhatuse liikmed määrab üldkoosolek ametisse 3 aastaks.

5.3. Juhatus valib juhatuse liikmete hulgast esimehe, kes korraldab juhatuse tööd

5.4. Juhatus korraldab ühingu tegevust, üldkoosoleku otsuste täitmist, raamatupidamist ja aruandlust

5.5. Juhatuse otsuse langetamiseks on vajalik juhatuse liikmete poolthäälteenamus.

VI. Majandustegevus

6.1. EESTALIA majandusaasta on 1. jaanuarist 31. detsembrini. Majandusliku tegevuse aruanne möödunud aasta kohta tuleb teha liikmetele tutvumiseks kättesaadavaks hiljemalt kaks nädalat enne ühingu korralist koosolekut.

Articles of Association of Non-Profit Organisation EESTALIA

I GENERAL PROVISIONS

1.1. Non-profit organization called Mittetulundusühing EESTALIA (hereinafter EESTALIA) is a non-profit voluntary association. 

1.2. EESTALIA is established on 27th June 2013. It operates on a self-financing basis.

1.3. The seat of Management Board is in Harju county, Tallinn.
1.4. In its activities the association is guided by the Estonian legal acts, statutes and decisions of governing bodies of EESTALIA.

II The purpose of the EESTALIA activities.

To promote cultural events and other initiatives in order to strengthen friendship between Estonia and Italy.

III members, their rights and obligations

3.1. Any legal and natural person may any time apply for the membership of the association, by submitting written application to the Management Board, and applicant will receive the confirmation from the Board itself.

3.2. To be excluded from the EESTALIA, the member shall submit a written application to the Board. A member can leave at any time. The Board will delete this member from the list of members of EESTALIA.

The rights and obligations of members:

3.3. Member of the EESTALIA have the right to:
a) take part in the voting at the general meeting of EESTALIA
b) be elected to the Board 
c) to obtain information on – and to participate to - the activities of EESTALIA.


3.4. Member of the EESTALIA is required to:
a) comply with the Articles of EESTALIA and its decisions of the Board;
b) to report the Board its contact details, address, birth date or ID code, and to inform the Board upon change of data no later than two months after the change;

IV. General Meeting

4.1. The supreme body of the association is the general meeting of EESTALIA, with each member having one vote.

4.2. The general meeting shall decide on:
a) Amendments to the Articles
b) change the objective of EESTALIA
c) appointment of the members of the Board

4.3. The general meeting is convened by the Board:
a) for the approval of Annual Report
b) if requested in writing, indicating the reason, by at least 1/10 of the association's members

4.4. For calling the general meeting the Board shall send a e-mail notice on the meeting details and agenda to each member at least two weeks before the meeting.

4.5. The General Meeting shall have a quorum if more than half of the members participate. 

4.6.The decision of the General meeting has been adopted, by a vote of more than half of the members present at the meeting, or their representatives, unless the Articles of association or the law does not require for a greater majority requirement.

4.7. The change of the Articles requires 2/3 majority of the general meeting, and the change the objective requires all members of the EESTALIA in favour of the objective change.

4.8. The General Meeting might invite two individuals to take the seat of Honorary Presidents of EESTALIA (one with Estonian background, one with Italian background)


V. The Board

5.1. EESTALIA shall be managed and represented by the Board of at least 3 members

5.2. Board members are appointed by the general meeting for 3 years.

5.3. The Board shall elect a Chairman from among the Board members, who organizes the work of the Board

5.4. The Board co-ordinates activities of the EESTALIA and implements the decisions of the General Meeting

5.5. For passing the Board decisions the majority of the Board votes is needed.

VI. Fiscal activity

6.1. The fiscal year of EESTALIA is from January 1st until December 31st. Annual fiscal report has to be made available for members at least two weeks prior to general meeting.
